By posting, uploading, or otherwise submitting any content to PromptPort,

including but not limited to, text, images, videos, and links (collectively, "User

Content"), you grant us a non-exclusive, royalty-free, worldwide, perpetual,

irrevocable, and fully transferable right to use, reproduce, modify, adapt, publish,

translate, create derivative works from, distribute, and display such content in any

media.

3.2 User Behavior

You agree not to use our Services to:

1. Service Suspension or Termination

PromptPort may, in its sole discretion, terminate or suspend your access to the

Services for any reason, including but not limited to a breach of these Terms, at

any time without notice. Upon termination, all rights granted to you under these

Terms will immediately cease. PromptPort is not liable to you or any third party

for termination of your access to the Services.

2. No Warranty and Limitation on Liability

The Services are provided on an "as is" and "as available" basis. To the maximum

extent permitted by applicable law, PromptPort disclaims all warranties, express

or implied, including but not limited to, implied warranties of merchantability,

fitness for a particular purpose, and non-infringement. PromptPort does not

warrant that the Services will meet your requirements, or that the Services will

be uninterrupted, timely, secure, or error-free.

3. Modification of Terms

4. Jurisdiction and Conflict Resolution

PromptPort is located, without regard to its conflict of law provisions. Any

resolved by good faith negotiation between the parties. If such negotiation fails

to resolve the dispute, the parties agree to submit the dispute to binding

arbitration under the applicable arbitration organization, with the prevailing

party entitled to its reasonable attorneys' fees and costs.

If any provision of these Terms is found to be unenforceable or invalid, that

provision will be limited or eliminated to the minimum extent necessary so that

these Terms will otherwise remain in full force and effect. The failure of

PromptPort to exercise or enforce any right or provision of these Terms will not

constitute a waiver of such right or provision. These Terms, and any rights and

licenses granted hereunder, may not be transferred or assigned by you but may

be assigned by PromptPort without restriction. These Terms constitute the

entire agreement between you and PromptPort regarding the Services and

supersede and replace any prior agreements you and PromptPort might have

had regarding the Services.
